Terms & Conditions

1. Agreement to Terms

By accessing or using the ACE Digital Network client portal ("Portal") and our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use the Portal or our services.

These Terms apply to all services provided by ACE Digital Network ("Company," "we," "us"), including but not limited to web design, social media management, lead generation, advertising management, and custom digital systems.

2. Services and Scope

The specific services, deliverables, timelines, and pricing for your project will be documented in a separate service agreement or proposal. These Terms supplement that agreement.

  • We reserve the right to subcontract portions of the work, while remaining responsible for the quality of deliverables.
  • Additional requests beyond the agreed scope may incur extra charges, which will be communicated and approved before work begins.
  • We make reasonable efforts to meet agreed timelines but are not liable for delays caused by factors outside our control, including delayed client feedback or third-party service outages.

3. Client Portal Account

You are responsible for maintaining the security of your login credentials. You agree to:

  • Use a strong, unique password for your account
  • Not share your credentials with unauthorized individuals
  • Notify us immediately if you suspect unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or show signs of unauthorized access.

4. Billing and Payment

  • Payment methods: You may add one or more credit or debit cards through the Portal. Card information is securely processed and stored by Stripe; we never see or store your full card number.
  • Invoicing: Invoices are generated according to the schedule agreed in your service contract (monthly, per-project, or otherwise). Payment is due within 15 days of the invoice date unless otherwise specified.
  • Autopay: If enabled, your default payment method will be automatically charged on the invoice due date. You may disable autopay at any time through the Billing section of the Portal.
  • Late payments: Invoices unpaid after 30 days may be subject to a late fee of 1.5% per month on the outstanding balance. We reserve the right to pause active services until the account is brought current.
  • Currency: All amounts are in US Dollars (USD) unless explicitly stated otherwise.

5. Refunds and Cancellation

  • Monthly services: Either party may cancel ongoing monthly services (social media management, ads management, etc.) with 30 days written notice. No refund is issued for the current billing period.
  • Project-based services: If you cancel a project already in progress, you are responsible for payment of all work completed up to the cancellation date. A cancellation fee of 20% of the remaining project value may apply.
  • Disputes: If you believe an invoice is incorrect, contact us within 10 days of the invoice date. We will review and resolve billing disputes in good faith.

6. Intellectual Property

  • Client content: You retain ownership of all content, brand materials, and data you provide to us. You grant us a limited license to use these materials solely for delivering the agreed services.
  • Deliverables: Upon full payment, ownership of custom deliverables (website code, designs, custom graphics created specifically for you) transfers to you, except for third-party tools, fonts, and stock assets licensed under their own terms.
  • Portfolio rights: Unless you opt out in writing, we may reference the work in our portfolio and marketing materials.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business strategies, analytics data, customer data, pricing, and technical implementations. This obligation survives the termination of services for a period of 2 years.

8. Data and Privacy

Your use of the Portal is also governed by our Privacy Policy. By using the Portal, you consent to the collection and use of data as described in that policy.

We implement reasonable security measures to protect your data, including HTTPS encryption, Firebase authentication, and Stripe PCI-compliant payment processing. However, no system is 100% secure, and we cannot guarantee absolute security.

9. Limitation of Liability

To the maximum extent permitted by law:

  • ACE Digital Network is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our services or the Portal.
  • Our total liability for any claim arising from services rendered shall not exceed the amount you paid to us in the 3 months preceding the event giving rise to the claim.
  • We are not responsible for losses caused by third-party services (hosting providers, ad platforms, payment processors, etc.) or for results dependent on market conditions beyond our control.

10. Service Availability

We strive to maintain the Portal and services with minimal interruption. However, we do not guarantee uninterrupted access and may perform maintenance with reasonable advance notice. Emergency maintenance may occur without prior notice.

11. Acceptable Use

You agree not to use our services or the Portal to:

  • Engage in illegal activity or promote illegal products/services
  • Distribute malware, spam, or deceptive content
  • Violate the intellectual property rights of any third party
  • Attempt to gain unauthorized access to the Portal or its systems

Violation of this section may result in immediate termination of services without refund.

12. Modifications to Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date. For material changes, we will notify you via email or through the Portal. Continued use of the Portal after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved in the courts of the state where ACE Digital Network is incorporated, or through mutually agreed alternative dispute resolution.
